Mindful Connect VN Terms of Service

Welcome to Mindful Connect! We provide Facebook lead generation services specifically designed for therapy practices. By using our website or engaging with our services, you agree to the terms outlined below.

If you have a separate signed agreement with us, those terms will take precedence over any conflicting language in this general Terms of Service.

1. Our Services

We offer two core services:

  • Initial Campaign Setup: Includes configuring your Facebook Business Manager, setting up ad accounts, designing ads, writing ad copy, targeting audiences, and integrating lead delivery systems.

  • Ongoing Campaign Management: Includes daily ad optimization, lead delivery, tracking, reporting, and performance monitoring.

We operate on a performance-based model, where you only pay for qualified leads. No setup or retainer fees are charged unless otherwise agreed upon in writing.

2. What Qualifies as a Lead

A qualified lead is defined as:

  • A contact who submits complete and valid information (name, email, and/or phone number), and

  • Expresses interest in your services through a Facebook form or landing page created by us.

We do not guarantee booked appointments, sales, or conversions. We are responsible for generating interest and delivering contact information only.

3. Client Responsibilities

To ensure a successful campaign, clients must:

  • Provide access to their Facebook Business Manager and Ad Account.

  • Fund all Facebook ad spend separately.

  • Respond to messages and approvals within 24–48 hours.

  • Accurately describe their services, offers, pricing, and ideal client.

  • Follow up with leads promptly and professionally.

  • Share feedback on lead quality to help improve campaign performance.

  • Ensure compliance with Facebook Ads policies and applicable laws.

4. Payment and Billing

  • We operate on a commission-based model. This means:

    • You are billed only for the leads delivered.

    • Lead pricing and billing frequency (e.g., weekly or bi-monthly) are outlined in your client agreement or onboarding documents.

    • You are responsible for paying the agreed-upon fee per valid lead.

    Note: Ad spend (the budget paid directly to Facebook) is not included in our commission and must be handled separately.

  • Payment Due: Within 5 calendar days of invoice receipt.

  • Disputed Leads: Must be reported within 48 hours of delivery. If a lead is found to be invalid (fake or incomplete), we may exclude or replace it at our discretion.

5. No Refund Policy

We do not offer refunds or cancellations once campaigns are running and leads are delivered. All qualified lead charges are final.

6. Termination Policy

Either party may terminate the relationship with 7 days' written notice. Upon termination:

  • All active campaigns will be paused.

  • All outstanding payments for leads already delivered are due.

  • Final assets, lead data, and reports will be shared, if applicable.

We reserve the right to pause campaigns for late payments, missing access, or policy violations.

7. Intellectual Property and Portfolio Use

We retain ownership of any ad copy, designs, and marketing systems we create. You may use these assets for your business while working with us, but they remain our intellectual property.

We may showcase anonymized versions of your campaign results or creatives in our portfolio or marketing channels, unless you request otherwise in writing.

8. Confidentiality

All proprietary information shared between us (business strategies, targeting, lead data, etc.) is kept confidential. We will never share your data with third parties for commercial use.

9. Limitation of Liability

We are not liable for:

  • Missed business opportunities,

  • Client-side issues (e.g., failure to follow up with leads),

  • Facebook platform changes or account restrictions.

If we are found liable for any reason, our total liability will be limited to the amount you paid us in the last billing cycle.

10. No Performance Guarantee

While we strive for the best possible results using proven strategies, outcomes may vary based on factors such as your offer, audience response, and follow-up process. We are committed to optimizing performance, but no marketing campaign can guarantee specific sales or booking outcomes.

11. Governing Law

These Terms are governed by the laws of Vietnam. Any disputes shall be resolved fairly and in good faith, under the laws of Vietnam.

12. Updates to These Terms

We may update these Terms at any time. Changes will be posted on this page with an updated “Effective Date.” Continued use of our services means you accept the new terms.
